Proposed offerings of the Internet Data Center (IDCs) are as follows: i. Hosting (Shared as well as dedicated) ii. Co-location iii. Managed Services Scope Scope of the contract is to Set Up, Own, Operate and Maintain IDC on revenue sharing basis. BSNL shall provide only covered space, electrical infrastructure like substation & DG sets for mak ing ava i l abl e e l ec t r i ca l supplies to data center and Bandwidth. All Capex on hard- ware-software including environ- mental works inside the data center with all civil and electrical works like raised floor, air- conditioning, fire detection and fire-fighting, UP etc and Opex shall be borne by the partner DCSP. BSNL shall provide electricity on chargeable basis at the rate of prevalent electricity board rate. BSNL shall provide the generator and also bear the AMC expenses. However diesel expenses for running the E/A set shall be borne by the Data center service pro- vider. Also the manpower to run the E/A set shall also be provided by the Data center service pro- vider. mutual l y agreed terms and conditions. i) The terms and conditions of the Agreement to be signed with the successful bidder(s) of this EoI shall come into effect from the date of signing of the same, and will remain valid up to a period of five (5) years plus the implementation period (i.e. beyond the date of commissioning of IDCs). Al l the c l auses of the Agreement shall come into effect from the date of signing, unless otherwise specified. Agreement for the optional period of sixth and seventh year shall be renewed on yearly basis at the liberty of BSNL. ii) Given the nature of services proposed under this EOI, the terms and conditions of the agreement shall survive beyond the termination period and up to the expiry of term of end customer contract(s) as extant on the da t e o f exp i ry o f thi s agreement, for the remain- ing period of such terms in customer contracts. 3. Indicative Data Center ServiceOfferings 3.1. It shall be possible to offer the following services to custom- ers from the IDCs so set up, as and when customer demand is there in a timeframe decided mutually shall not factor it in the revenue sharewhen quoting. 20. Payment Terms 20.1. BSNL shall do front ending for invoicing the customers and collection of payments. 20.2. Payments from customers shall be collected through an Escrow mechanism. BSNL shall open an Escrow account for this purpose and all receipts from the customers shall go directly to this account and shall be split into two parts and credited to respective designated accounts of BSNL and DCSP in the proportion which shall be decided as below: For BSNL this amount shall be (X % +10 % of total reve- nue), where X is higher of the approved value against item no. 1 and 2 of (Price bid) Section V of this EOI for corresponding year. This extra amount shall be kept by BSNL for set t l ement on account of SLA penalties with customers. Such Settlement shall be done on quarterly basis. ContractDuration 22.1. Duration of contract is 7 years from the date of commis- sioning of IDC and ready to be used for offering services to end customers. Out of 7 years, sixth and seventh year shall be optional at the liberty of BSNL. After 7 years also, contract may be extended on yearly basis on Sl IDC Data center location at Total Data Center space including that for utilities (Sq.
